The Talent Practice offers HR consulting and professional development services. Examples include, but are not limited to talent development, performance management, leadership coaching, organizational consulting, workshops, and training programs. The specific details of the services provided will be outlined in a separate agreement or proposal. 

3. Client Responsibilities

• Accurate Information: You agree to provide accurate and complete information necessary for us to deliver our services effectively.
• Cooperation: You agree to cooperate with us in a timely and professional manner, including attending scheduled meetings and completing assigned tasks. 
• Payment: You agree to pay all fees and expenses as outlined in the agreed-upon payment schedule.
• Confidentiality: You agree to maintain the confidentiality of any proprietary or sensitive information shared during our engagement.

4. Fees and Payment

• Fees for services will be outlined in a separate agreement or proposal. 
• Payment terms will be specified in the invoice.
• Late payments may be subject to interest charges.
• We reserve the right to suspend or terminate services for non-payment.

5. Intellectual Property

• Any materials, tools, or methodologies developed by The Talent Practice remain our intellectual property. 
• You are granted a non-exclusive, non-transferable license to use materials provided for the specific purpose of the engagement. 
• You may not reproduce, distribute, or modify our intellectual property without our prior written consent.

6. Confidentiality

• We agree to maintain the confidentiality of any proprietary or sensitive information shared by you.

• This confidentiality obligation will survive the termination or our engagement. 
• Exceptions to confidentiality include when information must be shared to comply with the law, or when there is imminent harm.

7. Limitation of Liability

• The Talent Practice will not be liable for any indirect, incidental, consequential, or punitive damages arising from the use of our services. 
• Our liability is limited to the fees paid by you for the services provided. 
• We do not guarantee specific outcomes, and results may vary.

8. Termination

• Either party may terminate the engagement with written notice, subject to the terms outlined in the agreement. 
• Upon termination, you agree to pay for services rendered up to the termination date. 
• We may terminate services immediately for breach of these terms and conditions.

9. Governing Law

• These Terms and Conditions will be governed by and construed in accordance with the laws of Texas, in the United States of America.

10. Changes to Terms and Conditions

• We reserve the right to modify these Terms and Conditions at any time. 
• Any changes will be effective immediately upon posting on our website or providing notice to you.
• Your continued use of our services after any changes constitutes acceptance of the new Terms and Conditions.

11. Force Majeure

• Neither party shall be liable for any failure or delay in performance of its obligations under this Agreement to the extent that such failure or delay is caused by events beyond its reasonable control, including but not limited to acts of God, war, strikes, or natural disasters.

12. Entire Agreement

• These Terms and Conditions, together with any agreed upon proposal or contract, constitute the entire agreement between the parties and supersede all prior agreements or understandings.
